StoriiCare “Skye” AI Agent — Terms of Use

1. Introduction
1.1 These Terms of Use (“Terms”) govern your access to and use of the artificial-intelligence assistant Skye, operated by Storii Global Inc., trading as StoriiCare (“StoriiCare,” “we,” “us,” or “our”).
1.2 By accessing or using Skye (whether via web, mobile, API, or through integration with the StoriiCare platform), you agree to these Terms. If you are using Skye on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
1.3 These Terms supplement, and do not replace, the main StoriiCare Terms of Service and Privacy Policy, available at www.storiicare.com/legal. If there is any conflict between those agreements and these Terms, these Terms apply specifically to your use of Skye.
2. Definitions
- Skye: StoriiCare’s artificial intelligence assistant designed to assist users with information, support, and workflow suggestions within the StoriiCare platform.
- Prompt(s): Any message, question, or command submitted to Skye.
- Output(s): The response or information Skye provides in return.
- User Content: Any data, information, or material you provide when interacting with Skye.
- Personal Data: Any data that identifies or can reasonably identify a person, as defined in our Privacy Policy.
- Prohibited Content: Any unlawful, harmful, discriminatory, defamatory, or otherwise inappropriate material.
3. Nature of Skye & Disclaimers
3.1 Skye is an AI-powered conversational tool intended to provide helpful, informational, or assistive responses. Skye is not a human and does not offer professional advice.
3.2 Skye’s responses are generated automatically and may be inaccurate, incomplete, or out of date. You are solely responsible for reviewing and verifying any information before relying on it.
3.3 Skye does not replace human judgment, professional advice, or qualified clinical decision-making. You must not rely on Skye for:
- Medical diagnosis, treatment, or patient care decisions;
- Legal or regulatory interpretation;
- Business or financial decisions without human verification.
3.4 StoriiCare may modify, suspend, or discontinue Skye (in whole or in part) at any time, without notice or liability.
4. Acceptable Use
4.1 You agree to:
- Use Skye only for lawful purposes within the StoriiCare platform;
- Review and verify all Outputs before use or sharing;
- Ensure that any data you input is accurate and compliant with privacy laws;
- Use Skye responsibly and in good faith.
4.2 You must not:
- Attempt to extract, copy, reverse-engineer, or train competing models using Skye’s responses;
- Upload or submit any Prohibited Content;
- Use Skye to generate false, misleading, harmful, or discriminatory material;
- Use Skye for automated scraping, high-volume querying, or resale of Outputs;
- Circumvent any technical or usage limitations set by StoriiCare.
5. Data, Privacy & Security
5.1 Skye processes data—including Prompts, Outputs, and usage information—to operate, maintain, and improve the service.
5.2 Use of Skye is governed by the StoriiCare Privacy Policy, which outlines how we collect, store, and protect your data. By using Skye, you consent to the processing described in that policy.
5.3 StoriiCare may use third-party services and large language models (LLMs) to provide Skye. These providers may temporarily process your Prompts and Outputs for the purpose of generating responses. StoriiCare takes reasonable steps to ensure that such processing complies with applicable data protection laws.
5.4 You must not input any personal health information, sensitive personal data, or confidential business information into Skye unless doing so is compliant with your organization’s privacy obligations and with applicable laws (including HIPAA, GDPR, and similar frameworks).
5.5 Skye activity and interactions may be logged for audit, compliance, and improvement purposes.
6. Intellectual Property
6.1 All intellectual property in Skye, its models, data pipelines, and related technologies belong to Storii Global Inc. or its licensors.
6.2 You retain ownership of your User Content but grant StoriiCare a non-exclusive, royalty-free license to use it for the purposes of providing, maintaining, and improving Skye.
6.3 If you provide feedback or suggestions regarding Skye, you grant StoriiCare a perpetual, worldwide, irrevocable license to use that feedback without restriction or compensation.
6.4 StoriiCare grants you a limited, non-transferable right to use Skye within your authorized StoriiCare account, subject to these Terms.
7. Warranties and Disclaimers
7.1 Skye is provided on an “as is” and “as available” basis. StoriiCare makes no warranties, express or implied, regarding:
- Accuracy, reliability, or fitness for a particular purpose;
- Uninterrupted or error-free operation;
- Compliance of Outputs with any legal, regulatory, or professional standards.
7.2 StoriiCare disclaims all liability arising from reliance on Skye’s Outputs or any decisions made based on them.
7.3 You acknowledge that using Skye may involve the transmission of data across third-party systems, which carries inherent risks beyond StoriiCare’s control.
8. Limitation of Liability
8.1 To the maximum extent permitted by law, StoriiCare and its affiliates will not be liable for any indirect, incidental, consequential, punitive, or special damages arising out of or relating to Skye.
8.2 StoriiCare’s total aggregate liability to you for any claim related to Skye will not exceed the greater of:
- USD $100, or
- The amount paid by you (or your organization) for access to Skye or related StoriiCare services in the 12 months preceding the claim.
8.3 Some jurisdictions do not allow the exclusion or limitation of liability for certain damages, so portions of this clause may not apply to you.
9. Indemnity
You agree to defend, indemnify, and hold harmless StoriiCare, its affiliates, and their respective officers, directors, and employees from and against any claims, losses, damages, or expenses (including legal fees) arising from:
- Your use of Skye;
- Your breach of these Terms; or
- Your violation of any applicable law or third-party right.
10. Suspension, Termination & Updates
10.1 StoriiCare may suspend, restrict, or terminate your access to Skye at any time, without prior notice, for any reason.
10.2 We may update or modify these Terms periodically. The “Last updated” date at the top reflects the most recent version. If we make material changes, we may notify you via email or within the StoriiCare platform. Continued use of Skye after changes are effective constitutes acceptance of the new Terms.
10.3 Upon termination of your access to Skye, these Terms will continue to apply to any prior use or obligations.
11. Governing Law and Jurisdiction
11.1 These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles.
11.2 Any disputes arising from or relating to these Terms shall be resolved exclusively in the courts located in San Mateo County, California.
12. Miscellaneous
12.1 Severability: If any part of these Terms is held invalid, the remaining provisions remain enforceable.
12.2 Waiver: Failure to enforce any right does not constitute a waiver.
12.3 Assignment: You may not assign or transfer your rights under these Terms without StoriiCare’s prior written consent.
12.4 Entire Agreement: These Terms, together with StoriiCare’s main Terms of Service and Privacy Policy, constitute the entire agreement governing your use of Skye.
